Crusoe is seeking a Director of Legal Counsel to lead commercial contracting and strategic legal initiatives for an AI infrastructure company. You will serve as a senior legal advisor drafting, reviewing, and negotiating a broad range of customer-facing and strategic commercial transactions, with primary focus on SaaS, software licensing, cloud services, AI-enabled offerings, strategic partnerships, data processing agreements, and go-to-market arrangements.
Key responsibilities include leading customer and procurement negotiations from intake through signature, serving as a trusted advisor to cross-functional stakeholders (Cloud Sales, Product, Digital Infrastructure, Customer Success, Security, Finance, Procurement), developing scalable contracting processes and standard forms, and supporting strategic pricing initiatives and commercial model optimization. You will manage a challenging volume of contracts ranging from straightforward to complex, identify legal issues, and deliver creative solutions that balance risk against commercial objectives.
You will also drive process improvements to enhance contracting efficiency, work with AI legal technology tools to increase productivity, and participate in internal approval workflows while prioritizing contracts and responding to stakeholder questions.
Required qualifications: J.D. from accredited law school with active bar admission; 8+ years in-house and/or law firm experience supporting technology transactions; extensive experience negotiating SaaS, software, cloud services, professional services, data processing, and enterprise commercial agreements in complex environments; strong understanding of cloud services, software licensing, information security, privacy, IP, and regulatory considerations; demonstrated skill drafting and negotiating complex software and SaaS agreements; proven ability to balance legal risk against commercial objectives and influence stakeholders beyond the legal function; proficiency with AI and legal technology tools, Microsoft O365/Google Workspace, and contract management software like Ironclad.
Bonus qualifications include knowledge of data privacy laws in SaaS contexts, understanding of software development and open-source communities, and prior experience at startups, AI companies, or high-growth ventures.
