As Director of Corporate Legal, you will lead the corporate transactions practice within the Legal, Risk & Compliance team. This is a senior role reporting to the head of legal, with responsibility for the full lifecycle of high-impact corporate transactions globally. Key responsibilities include: serving as primary internal counsel on private company fundraising and financing (equity and equity-linked instruments), leading term sheet development and negotiation of definitive agreements; partnering with Corporate Development & Investor Relations on fundraising strategy, investor due diligence, and governance matters across multiple rounds; leading end-to-end legal execution of domestic and cross-border M&A and strategic transactions, including acquisitions of licensed fintech entities; advising on secondary sales and liquidity programs for shareholders and employees; providing expert guidance on corporate governance, intragroup structuring, and corporate actions; collaborating with Regulatory Legal and Risk teams to ensure transactions preserve licenses and meet regulatory expectations; selecting and managing external counsel across multiple jurisdictions; and building scalable transaction processes, playbooks, and templates leveraging legal tech and AI tools. You will work directly with the CEO's Office, Corporate Development, Finance, Tax, and other LRC teams to design and execute complex, cross-border deals enabling Airwallex's next growth phase. Minimum qualifications: U.S. legal qualification (or foreign equivalent) with active license in at least one U.S. jurisdiction; 10+ years in-house legal or private practice experience advising on private company financing and M&A with strong track record running transactions end-to-end; significant experience drafting and negotiating core transaction documentation (term sheets, purchase/merger agreements, shareholder agreements); strong working knowledge of U.S. corporate and securities law as applied to private companies in fundraising and secondary transaction contexts.
