Snorkel AI is seeking a Director, Corporate Legal to join its growing Legal team, reporting to the General Counsel. This is a foundational role building and scaling the corporate legal function for a venture-backed AI company at a critical growth stage.
You will own broad responsibility across corporate transactions, governance, equity administration, entity management, and international expansion. Key responsibilities include leading private company financings, secondary transactions, M&A, and strategic investments from structuring through closing. You'll support the General Counsel on Board and committee matters, including governance, reporting, and transaction approvals. You'll manage all legal aspects of fundraising, investor diligence, shareholder matters, and corporate governance.
Equity administration is a core focus: you'll oversee Snorkel's equity plans, grants, exercises, transfers, and related documentation while ensuring cap table integrity in coordination with Finance and People teams. You'll manage corporate formations, subsidiaries, entity governance, and compliance. As Snorkel expands internationally, you'll lead corporate legal workstreams for foreign entity formation, capitalization, governance, and local compliance.
You'll manage relationships with outside corporate counsel, driving high-quality and practical advice while maintaining disciplined legal spend. A key part of this role is building scalable processes, playbooks, templates, approval frameworks, and recordkeeping practices that allow the corporate legal function to grow with the business.
Required: J.D. with active bar membership in at least one U.S. jurisdiction; 10+ years of corporate legal experience in private practice and/or in-house; significant experience advising venture-backed companies on financings, M&A, governance, and strategic transactions; mix of top-tier law firm and late-stage tech company experience; strong knowledge of U.S. corporate and securities law for high-growth private companies; experience with equity compensation, cap tables, and corporate governance; experience managing subsidiaries and entity compliance; proven track record managing outside counsel and working with executives, Boards, investors, and cross-functional teams; excellent judgment, drafting, negotiation, and project-management skills.
Preferred: familiarity with Carta or similar equity platforms; experience supporting international expansion; experience with secondary transactions or liquidity programs; experience building or scaling corporate legal functions; comfort in fast-moving environments with evolving priorities; willingness to be both strategic and execution-oriented.
