Sila Nanotechnologies, a next-generation battery materials company focused on powering the world's transition to clean energy, seeks a Director, Associate General Counsel to join its legal team in Alameda, CA. This is an on-site role reporting to the Deputy General Counsel.
The successful candidate will serve as the primary legal advisor on corporate and employment law matters, with broad responsibilities spanning multiple domains. Key areas include leading legal support for debt and equity financing transactions (credit facilities, venture and growth equity financings, secondary transactions, and capital-structure matters), partnering with Finance and outside counsel from term sheet through closing. The role oversees board and committee governance matters, including materials, resolutions, charters, and best practices; leads creation and maintenance of governance, ethics, and compliance policies; and supports public-company readiness initiatives.
Additional responsibilities include supporting M&A, joint ventures, and strategic transactions; managing subsidiary formation and compliance; advising on equity plan administration and capitalization table integrity; and providing counsel on employment law matters with primary focus on California and multi-state issues (wage and hour, leave, workplace investigations). The role also manages litigation matters, coordinates outside counsel, and works cross-functionally with People/HR, Finance, Treasury, and Operations to establish processes and identify legal risks and opportunities.
Required qualifications include a JD from an accredited law school, membership in good standing with at least one state bar (California preferred), and a minimum of 8 years of relevant legal experience spanning both leading global law firms and in-house legal departments. Public company operating experience is required; experience in both pre-IPO and post-IPO environments is strongly preferred. Deep practical experience with corporate governance, securities law, M&A, and debt/equity financing is essential. Experience in technology or energy sectors is highly desirable, with battery technology experience a plus. The ideal candidate demonstrates exceptional communication, negotiation, drafting, and presentation skills, along with proven ability to manage complex matters end-to-end and exercise sound business judgment.
