Salary: USD 164,000 - 245,000 / annual

Affirm is seeking a Counsel II, Capital Markets to join its Legal, Compliance, and Public Affairs team. This role supports Affirm's capital markets and bank partnerships business teams in building a diversified capitalization strategy and expanding the company's network of capital sources and originating/card issuing partner banks. Key responsibilities include: - Supporting the capital markets team in building out the company's network of capital sources and strategies, including international expansion - Supporting the bank partnerships team in developing originating and card issuing partner bank relationships - Guiding financing transactions and initiatives from legal strategy through deal execution - Drafting, reviewing, and negotiating US and international capital markets deal documents, including credit and security agreements, loan sale agreements, indentures, officer certificates, board and shareholder resolutions, and side letters - Demonstrating knowledge of lending and securities laws and regulations relating to capital markets transactions - Communicating legal advice clearly, concisely, and timely - Assisting with special projects as needed The role reports to the Director, Capital Markets Counsel and requires strong organizational and interpersonal skills, the ability to prioritize responsibilities, and a desire to work with internal and external stakeholders. Requirements: - 5+ years of relevant law-firm experience; additional in-house experience preferred, particularly from a high-growth fintech start-up - JD degree from a well-regarded law school and membership in good standing in a US state bar - Previous legal experience in structured and/or debt finance, including term, revolving, and asset-based lending; warehouse and asset-backed financing; loan sales; securitizations; and creative forms of funding - Outstanding integrity and work ethic - Excellent business judgment and interpersonal skills to facilitate negotiations with external and internal customers - Strong problem-solving skills, meticulous attention to detail, maturity, business acumen, proactivity, and positive attitude - Proven experience as a key contributing member of a high-performing team - Self-motivation and ownership mentality - Ability to work efficiently both independently and as part of a team Note: Visa sponsorship is not available for this position.
