Hims & Hers, a leading health and wellness platform and public company (NYSE: HIMS), is seeking a Corporate Counsel to join its Legal team. This role offers the opportunity to provide strategic legal advice on high-impact corporate transactions and corporate/securities law matters across a fast-growing public company operating at the intersection of healthcare, technology, and e-commerce. Key Responsibilities: - Support strategic transactions including M&A, investments, capital markets, and financing, and manage ongoing obligations from transaction documentation - Assist with SEC filings (10-Ks, 10-Qs, 8-Ks, proxy statements, Section 16 reporting, NYSE submissions) and applicable risk factors - Support corporate governance matters, entity management, intercompany transactions, entity reorganizations, and corporate filings - Advise on investor relations and corporate communications, including earnings materials and internal/public communications review - Provide practical, risk-based legal advice to executives and cross-functional teams on corporate and securities matters - Collaborate with accounting, corporate development, finance, tax, people, equity, communications, and other teams - Work with outside counsel to deliver efficient, practical, business-oriented legal support - Monitor and advise on impacts of new/proposed corporate and securities laws to ensure compliance - Stay current on governance trends, emerging legal issues, and best practices; recommend policy changes as needed - Identify issues touching privacy, product, employment, litigation, and healthcare regulatory matters; coordinate with subject-matter experts Requirements: - Juris Doctor from ABA-accredited law school with current active license to practice law in at least one US jurisdiction - 4+ years post-law school experience in corporate, securities, and/or M&A at a law firm and/or in-house - Experience leading and managing strategic transactions (capital markets, M&A, financing) and/or advising on corporate governance for public companies - Experience advising management and stakeholders on legal considerations and risks in corporate transactions or initiatives - Experience with SEC rules, regulations, and compliance for public companies, including periodic reporting and Regulation FD - Experience working directly with senior leadership - Strong record of providing creative, solution-focused advice - Team-oriented mindset and positive attitude - Comfort in dynamic, fast-paced environments; ability to handle multiple matters simultaneously and prioritize effectively - Strong project management skills - Ability to evaluate issues from legal and business perspectives with practical, business-oriented problem-solving - Ability to translate complex legal issues into clear advice for business partners - Ability to develop strong working relationships across functions and teams - Excellent written, oral, and negotiation communication skills - Experience in technology or healthcare industries (preferred) - Familiarity with FDA and other healthcare laws and regulations (preferred)
