Salary: USD 130,000 - 175,000 / annual
Zinnia is a leading technology platform for life and annuities insurance, serving 100+ carrier clients, 2,500 distributors, and 2 million policyholders with $180 billion in assets under administration.
You will serve as a senior legal counsel responsible for drafting, reviewing, and negotiating complex commercial agreements across SaaS, licensing, professional services, implementation, support, and insurance third-party administration (TPA) contracts. You'll manage the full contract lifecycle from initial draft through renewal, handling pricing, service levels, data protection, IP, indemnification, limitation of liability, termination rights, and regulatory terms.
Key responsibilities include:
- Leading negotiations with customers, vendors, and strategic partners
- Managing post-signature matters including interpretation, amendments, renewals, and dispute resolution
- Building and refining contracting tools: templates, playbooks, fallback positions, and approval workflows
- Serving as the go-to legal partner for Sales, Finance, Product, Technology, Operations, InfoSec, Privacy, and Compliance teams
- Identifying legal and commercial risks early, explaining them clearly to non-lawyers, and recommending practical solutions
- Monitoring developments in commercial, tech, insurance regulatory, and privacy law
- Contributing to broader legal, compliance, and risk initiatives
You should have a J.D. and active bar membership in at least one U.S. state, with 5+ years of experience drafting and negotiating complex commercial agreements at a law firm or in-house. Strong background in tech transactions (SaaS, licensing, data protection, information security) is essential. Experience in insurance, financial services, TPA, or regulated industries is strongly preferred. You'll need excellent judgment balancing legal risk against commercial reality, strong writing and communication skills, and the ability to explain complex legal issues to non-lawyers. The role requires organizational skills to manage multiple concurrent matters and a collaborative, business-minded approach.
