Salary: USD 149,600 - 209,000 / annual

Carta is seeking an experienced Counsel to join its Legal team, specifically the Contracts function serving the Americas. You'll work within Carta's Contracts team, which manages the full lifecycle of commercial contracts for sophisticated investment fund and asset manager clients. The role involves negotiating and managing high volumes of pre-M&A contracts—including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters—while serving as the primary day-to-day contact for clients and building trusted advisor relationships. Key responsibilities include: independently negotiating pre-M&A contracts with counterparties while adhering to agreed turnaround times; maintaining and updating client playbooks to ensure consistency and quality across negotiations; collaborating with and mentoring junior lawyers and paralegals; and contributing to the continuous improvement of Carta's legal technology suite, including AI-backed tools like Ava. You'll bring 6-8+ years of post-law school corporate or transactional experience, with a proven track record of independently negotiating pre-M&A contracts. You have experience working with asset managers, investment banks, or other financial services firms and understand their expectations. You're licensed to practice law in the Americas (US/Canada), commercially minded, and client-focused. You communicate legal advice crisply and concisely, and you're tech-savvy and adaptable—comfortable working with and evolving a legal technology suite. An interest in legal tech or AI is a strong plus. You thrive in a fast-paced environment, prioritize effectively, and are always looking for ways to improve and innovate.
