Anduril Industries, a defense technology company transforming military capabilities through advanced AI and autonomy, seeks an experienced Corporate Paralegal to join its Corporate and M&A team in Costa Mesa, California. You will provide comprehensive paralegal and administrative support to manage Anduril's corporate formalities, governance, and organizational structure across multiple U.S. and foreign entities.
Key responsibilities include assisting in the planning and execution of mergers and acquisitions, venture financings, and stock administration. You will prepare and maintain records for all corporate governance matters, including entity formations and dissolutions, board and stockholder meeting minutes, and governance documentation. You'll support the execution of equity transactions, manage stock certificates and securities filings, and coordinate document executions including notarizations and apostilles with the executive team.
Additionally, you will track and complete entity annual reports, business license renewals, and other compliance matters. You'll manage complex data rooms for transactions and own special projects within the team, creating efficient workflows to keep the company organized.
Required qualifications include at least 4 years of relevant experience in corporate governance, entity management, and M&A, plus a bachelor's degree and paralegal certificate. You must demonstrate exceptional attention to detail, strong communication and writing skills, and the ability to work independently in a fast-paced environment. Proficiency with tools like Airtable, Slack, DocuSign, SharePoint, and entity management platforms (CT Corp, hCue, CSC) is essential. You must be a U.S. Person due to access to export-controlled information.
Preferred qualifications include interest in national security and defense contracting, 2+ years at a startup or high-growth company, and 2+ years at a nationally recognized law firm.
