Tandem Health is a fast-scaling healthtech company reimagining healthcare by putting clinicians first. Backed by top investors and expanding globally, the company is seeking a Corporate Legal Counsel to report to the Head of Legal and work closely with Finance and Operations. In this role, you will own and continuously develop the company's delegation of authority framework to ensure it scales with growth. You'll design, implement, and administer equity and incentive programs, manage shareholder matters and corporate records across the group, and partner with leadership on investor relations and shareholder communications. You'll prepare and lead annual general meetings and other corporate governance processes, and lead legal workstreams for equity financing rounds, M&A transactions, including corporate structuring, execution, and post-closing integration. You'll advise the business on corporate governance, ownership, and shareholder-related legal matters as they arise, and drive continuous improvements to governance processes to ensure compliance while enabling efficient business operations. You bring at least five years of corporate law experience, ideally from a leading law firm advising growth companies, private equity, or venture-backed businesses. Strong expertise in corporate governance, shareholder matters, and corporate transactions is essential. Experience supporting equity financing rounds, incentive programs, and M&A is highly desirable. You are fluent in both Swedish and English, pragmatic and commercially minded, with the ability to balance legal risk and business objectives. You work in a structured, hands-on manner with strong ownership and attention to detail, and you're confident working independently in a fast-paced, international environment with excellent stakeholder management skills.
