iCapital seeks a Data, Technology and IP Attorney to join its Legal team, focusing on contracts and commercial matters. This role bridges multiple functions—Sales, Partnerships, Technology, Product, and Regulatory Compliance—requiring an intellectually curious professional who can assess nuanced legal risks in context of business objectives and communicate actionable advice clearly.
Key responsibilities include drafting and reviewing complex, technology-driven client engagement agreements and general corporate contracts (HR, finance, marketing, real estate, alternative investments). You will develop and implement standard client form documentation, leverage contract lifecycle management solutions to improve efficiency, and take a leadership role in AI governance—monitoring evolving global AI regulations, partnering with engineering teams to test generative tools, building legal prompt frameworks, and evaluating AI system outputs for bias, security vulnerabilities, and IP infringement.
Additional duties encompass reviewing NDAs and legal documentation, assisting with strategic corporate development initiatives, supervising outside counsel relationships, and conducting ad hoc research projects. You'll report to the Head of Legal for Data, Technology and IP and collaborate with other attorneys in Legal and Regulatory Compliance groups.
Required qualifications: 5+ years of relevant experience at a top-tier law firm or in-house at a technology or financial services firm; New York Bar membership (or equivalent); strong interpersonal and leadership skills; willingness to learn in an evolving environment; high integrity; organized and detail-oriented mindset with big-picture capability; and practical understanding of machine learning architecture, cloud infrastructure, APIs, and tech platforms.
The role is hybrid: in-office Monday–Thursday, remote on Friday. Compensation includes base salary ($160K–$220K), equity, annual performance bonus, matched retirement plan, subsidized healthcare (100% employer-paid dental/vision), telemedicine, virtual mental health counseling, parental leave, and unlimited PTO.
