Salary: USD 265,000 - 335,000 / annual
Anthropic is seeking an experienced Corporate Counsel specializing in M&A to join its corporate legal team. The role involves leading legal workstreams on strategic transactions—acquisitions, acquihires, minority investments, joint ventures, and other structured deals—from initial diligence through closing and post-closing integration.
Key responsibilities include drafting, reviewing, and negotiating transaction documents (letters of intent, purchase agreements, ancillary agreements); managing and coordinating due diligence across cross-functional workstreams and third-party advisors; providing counsel on deal structuring, risk allocation, purchase price mechanics, and indemnification; preparing materials for executive leadership and the Board; managing outside counsel relationships; representing Legal during post-closing integration; and developing standardized processes, playbooks, and template documents to drive efficiency across M&A transactions.
The ideal candidate has a JD from an accredited law school, active bar membership in at least one U.S. state, and substantial experience drafting and negotiating M&A transaction documents. Deep understanding of transaction structures (stock purchases, asset purchases, mergers, acquihires, minority investments, joint ventures) and experience with both domestic and cross-border transactions are essential. Experience advising technology companies and startups is required.
Preferred qualifications include 5–8 years of M&A legal experience at a nationally recognized law firm or in-house at a high-growth tech company; experience with public company securities law and SEC reporting; equity compensation expertise in deal contexts; familiarity with AI, machine learning, or emerging technology companies; experience building M&A playbooks and processes on lean teams; and exceptional analytical, drafting, negotiation, and communication skills. The role requires the ability to thrive in a fast-paced environment, manage multiple transactions simultaneously, and work independently with minimal supervision while collaborating effectively across all organizational levels.
