The Boring Company seeks a Corporate Counsel to support legal, business, and strategic real estate and corporate initiatives. Reporting to the General Counsel, this role serves as a trusted legal advisor on commercial real estate transactions and corporate matters. Key responsibilities include leading and supporting commercial real estate transactions (acquisitions, dispositions, land use, development); drafting, reviewing, and negotiating purchase and sale agreements, leases, easements, licenses, and development agreements; conducting legal due diligence including title review, zoning analysis, and environmental/regulatory assessment; advising business stakeholders on real estate risks and transaction structures; coordinating with title companies, surveyors, and government agencies; supporting permitting and entitlement matters; developing standard agreement templates and legal playbooks; ensuring compliance with real estate laws and regulations; and providing general commercial legal support as needed. The ideal candidate is proactive, detail-oriented, and thrives in fast-paced environments solving complex legal and business challenges. Required qualifications include a J.D. from an accredited law school, active license to practice law in at least one U.S. jurisdiction (Tennessee preferred), and 3–5 years of commercial real estate law experience at a law firm or in-house legal department, with demonstrated ability managing sophisticated transactions from negotiation through closing. Preferred experience includes commercial leasing, acquisitions/dispositions, financing, development transactions, familiarity with title/survey/zoning/permitting issues, strong drafting and negotiation skills, ability to identify legal risks while providing practical business-focused solutions, excellent organizational and communication skills, and ability to work independently while collaborating with cross-functional teams.
