Salary: USD 142,600 - 213,800 / annual
Rubrik, a publicly traded Security and AI Operations Company, is seeking an experienced Corporate Counsel to join its legal team in Palo Alto. This role reports to the Senior Director of Corporate Legal and involves 3 days per week in-office work.
You will handle a broad range of corporate legal matters including SEC filings (10-K, 10-Q, 8-K, proxy statements, registration statements, and Section 16 reporting), public company compliance under securities laws and stock exchange listing standards, and corporate governance for Rubrik and its international subsidiaries. You'll provide legal support for corporate transactions including M&A, capital markets transactions, financings, restructurings, credit facilities, stock repurchases, and debt offerings.
A key differentiator for this role is the opportunity to implement new corporate legal workflows and processes using AI technology, leveraging AI agents and tools to make legal tasks more efficient and scalable. You'll manage outside counsel relationships and collaborate with internal cross-functional stakeholders on complex corporate projects.
Required qualifications include a post-graduate legal degree and active bar membership in at least one U.S. state. You'll need 3+ years of corporate legal experience, ideally with in-house experience or supporting in-house clients. A demonstrated passion for AI technology and hands-on experience using AI tools creatively to improve legal efficiency is essential. You should be comfortable working with business and non-legal stakeholders, possess exceptional communication skills, and demonstrate strong business judgment and strategic thinking in a fast-paced environment.
