Lambda, a leader in AI cloud infrastructure serving tens of thousands of customers from researchers to enterprises and hyperscalers, is seeking a Corporate Counsel to support its growth trajectory. Reporting to the Associate General Counsel, Corporate, you will manage a broad portfolio of legal work with primary focus on corporate governance, equity administration, securities, and transactional matters, with potential involvement in preparing for a public offering.
Key responsibilities include: (1) Corporate Transactions—providing counsel on equity fundraising rounds, debt financings, M&A, and strategic investments; (2) Equity Management—maintaining cap tables in Carta, drafting equity grant approvals, managing secondary sales, and coordinating 409A valuations; (3) Corporate Governance—preparing board and committee materials, managing entity maintenance, registrations, and filings; (4) Subsidiaries—assisting in formation, dissolution, and restructuring of entities, including international operations; (5) People & Culture—partnering with HR on employee handbooks, equity compensation training, and culture initiatives; (6) Research and Process Improvement—monitoring regulatory changes and implementing legal-tech solutions to streamline workflows; and (7) Ad-hoc Legal Support—collaborating on employment, IP, debt financing, and other priorities as needed.
You bring a JD from an accredited law school and admission to practice in at least one U.S. jurisdiction (California bar preferred). You have 3+ years of combined law firm and/or in-house experience with demonstrated strength in corporate transactions, governance, and equity administration. You possess solid corporate background, exceptional drafting and negotiation skills, strong interpersonal abilities, and a proactive mindset with meticulous attention to detail. Nice-to-have qualifications include experience at late-stage private or pre-IPO companies, familiarity with public-company readiness and IPO processes, experience negotiating commercial agreements, and debt financing experience.
