Human Interest is a high-growth fintech company on a mission to make retirement benefits accessible to small and medium-sized businesses and their employees. Backed by major investors including BlackRock, SoftBank, and TPG, the company has raised approximately $500 million to date and is scaling rapidly in the retirement savings space.
As Corporate Counsel, you will be the second corporate attorney on the Legal team, reporting to the Assistant General Counsel for Corporate & Commercial. This is a new seat on a growing team with significant scope and opportunity for impact.
Key responsibilities include:
- Lead corporate governance work for Human Interest Inc. and Human Interest Advisors, including board and stockholder actions, subsidiary maintenance, and entity records
- Prepare and support board and committee materials in partnership with the Finance team
- Manage the legal aspects of cap table and equity matters, including option grants, 409A coordination, executive compensation, and equity refresh cycles
- Support corporate finance and transactional activity across equity, secondary transactions, debt, convertibles, and sophisticated financing arrangements
- Build and maintain governance and transactional playbooks, templates, and processes to enable Legal to scale
- Support IPO readiness activities
- Manage outside counsel relationships on corporate and securities matters
- Lead negotiation and execution of commercial agreements including NDAs, vendor agreements, and data processing agreements
- Support M&A and strategic transactions as they arise
Required qualifications:
- J.D. from an ABA-accredited law school and active bar membership in at least one U.S. state
- 4+ years of corporate and securities experience at a top-tier law firm, with at least one in-house role at a private, high-growth company
- Experience with a range of corporate transactions: equity, secondary transactions, debt, and sophisticated financing arrangements
- Strong understanding of cap table mechanics, equity administration, and corporate governance for multi-entity structures
- Demonstrated ability to own and draft/negotiate commercial contracts
- Integration of AI tools into legal work and understanding of AI's role in contracting and legal operations
- Based in Pacific or Mountain time zone
- Pragmatic, business-minded approach to legal risk; clear communication with legal and non-legal stakeholders
Preferred qualifications include public company reporting and securities compliance experience, and experience in regulated industries such as fintech, financial services, or healthcare.
