Salary: USD 168,000 - 252,000 / annual

As Corporate Counsel, you will own and drive complex, high-impact corporate legal matters during a period of rapid scaling. Your responsibilities span the full breadth of corporate legal work, with particular focus on M&A and strategic transactions. You will execute on M&A activities including due diligence, drafting and negotiating definitive agreements, managing post-closing integration, and overseeing outside counsel relationships. You'll support financing activities, stock transfers, equity administration, and corporate governance matters including investor relations and board preparation.
You will play a key role in Harvey's global expansion efforts, managing entity formation, subsidiary maintenance, governance compliance, board meetings, and annual reporting across multiple jurisdictions. Additional responsibilities include managing real estate transactions and insurance matters.
A critical part of this role is designing, implementing, and continuously improving scalable legal processes, templates, and playbooks to drive efficiency and consistency across corporate and strategic transactions. You'll act as a trusted business partner to stakeholders across Finance, People, and Operations, providing solutions-oriented legal advice and exercising sound judgment under tight timelines.
You bring 3-6+ years of legal experience with a strong foundation in corporate law, including deep expertise in M&A, securities and equity matters, and corporate governance. You have experience supporting fast-growing technology companies, ideally including at least one year in-house. Experience supporting global expansion and multinational corporate structures is essential. You thrive in fast-paced environments, manage competing priorities creatively, and work collaboratively to build expertise and solve evolving challenges. You hold a JD degree and are licensed to practice in California or New York.
