ElevenLabs is seeking an experienced Corporate Counsel to join its Legal Team, working closely with the General Counsel on corporate legal matters. The role focuses on M&A, strategic investments, financings, global expansion, and public readiness for a high-growth AI company that has raised $781M and achieved an $11B valuation. Key responsibilities include serving as legal lead for acquisitions, strategic investments, joint ventures, and corporate transactions through their full lifecycle, including post-closing integration and structure. You will be the primary legal partner to Finance and Operations on deal strategy and execution, providing clear recommendations to key stakeholders. The role supports the company's fundraising efforts, including diligence, financing documents, side letters, investor rights coordination, and compressed-timeline execution with outside counsel. You will partner with Finance and People on ElevenLabs' equity programs, including option and RSU grants, plan amendments, cap table hygiene, 409A processes, and secondaries and tender offers. Additional responsibilities include advising on securities law questions relevant to a fast-scaling private company, supporting corporate governance and entity work with proper approvals and subsidiary formation, and designing and maintaining templates, playbooks, diligence checklists, approval workflows, and closing infrastructure to scale the corporate function. The ideal candidate is curious about AI and emerging technologies with strong ownership and enthusiasm for applying legal expertise to a company moving at unusual speed. You should be experienced in fast-paced, high-growth environments with the ability to manage ambiguity and make informed, timely decisions. You are a strong project manager capable of running multiple live deals simultaneously without dropping threads, comfortable working independently while collaborating effectively with cross-functional and global colleagues. You are proactive, business-minded, and committed to delivering practical solutions that support both compliance and commercial success, with interest in building the function rather than just staffing deals. Required qualifications: J.D. and active membership in at least one U.S. State Bar. 6+ years of relevant post-qualification legal experience at a major law firm, high-growth technology company, or both. Proven track record drafting and negotiating M&A and investment documents, including purchase agreements, term sheets, disclosure schedules, and ancillary deal documents, as well as post-acquisition integration experience. Substantive experience with venture or growth-stage financings.
