Carta is a connected platform and AI-native ecosystem for private capital, serving 55,000 companies and 1.8M+ equity holders across 160+ countries. You'll join the Carta Law team within the Contracts - North Americas function, managing the full lifecycle of commercial contracts for sophisticated investment fund and asset manager clients. In this role, you'll negotiate and manage high volumes of pre-M&A contracts—including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters—while serving as the primary day-to-day contact for clients. You'll build trusted advisor relationships with financial services firms, maintain and update client playbooks to ensure consistency and quality, and collaborate with junior lawyers and paralegals by reviewing their work and contributing to team culture. You'll also contribute to continuous improvement of Carta's legal technology suite, identifying opportunities to innovate using AI-backed tools including Carta's proprietary platform, Ava. You bring 6-8+ years of post-law school corporate or transactional experience, with a proven track record of independently negotiating pre-M&A contracts. You have experience working with asset managers, investment banks, or other financial services firms and understand their expectations. You're licensed to practice law in the Americas (US/Canada), tech-savvy with legal technology platforms (e.g., AI tools, HighQ), and thrive in fast-paced environments where you can prioritize effectively and drive innovation.
