Volta is a vertically integrated AI infrastructure platform backed by a $10B strategic partnership with a leading frontier AI lab, Series A funding from Andreessen Horowitz, and a $5B AI Infrastructure Fund. The company is building compute infrastructure for the AI era and is rapidly expanding across London, Palo Alto, and New York.
As the first dedicated Company Secretary, you will own all corporate secretarial and governance matters across the Volta group. This is a high-ownership, transaction-focused role reporting to the SVP Strategic Finance and working directly with founders and senior leadership.
Key responsibilities include: managing the group entity map and statutory records across multiple jurisdictions (UK, Norway, US, Luxembourg, Spain); preparing and managing board and shareholder meetings, resolutions, and minutes; owning Companies House and equivalent registry filings and compliance calendars; supporting financings, joint ventures, and M&A transactions with corporate approvals and closing mechanics; administering shareholders' agreements and investor governance; managing KYC/AML documentation and banking onboarding; overseeing director and officer compliance; maintaining corporate governance manuals and constitutional documents; and instructing external counsel and corporate service providers.
You will bring 5+ years of company secretarial or corporate governance experience, ideally spanning both professional services (law firm, Big 4, corporate services) and in-house roles. Chartered Governance Institute (CGI/ICSA) qualification or equivalent legal qualification with substantial company secretarial practice is required. You must have strong UK Companies Act knowledge and demonstrable cross-border entity experience. Experience with private-capital-backed businesses, infrastructure, energy, joint ventures, or project-financed structures is advantageous. You are meticulous with documentation, self-directed, able to manage multiple workstreams in parallel, and discreet with confidential information. Fluent English is essential; additional European languages (Spanish, Norwegian, French, German) are helpful.
