nCino, a cloud banking platform leader, is hiring an experienced transactional attorney to join its Legal team. This role focuses on complex partner, technology, and vendor relationships within nCino's growing global partner ecosystem.
You will negotiate and draft sophisticated SaaS and technology agreements, including technology partner and integration agreements, solutions partner and channel agreements, reseller and co-sell arrangements, product integration and API agreements, marketplace participation agreements, strategic alliances, and vendor/procurement contracts. You'll serve as primary legal counsel for nCino's global partner and ecosystem initiatives, advising on deal structure, commercial risk, and scalable program design.
Key responsibilities include leading negotiation and management of vendor and supplier contracts (SaaS, cloud services, professional services, technology licensing, data processing agreements, and security terms); partnering closely with Accounting/Finance, Partnerships, Product/Engineering, Sales, Marketing, IT, and InfoSec teams to align on technical, operational, and business requirements; developing and maintaining partner and vendor contract templates, playbooks, and negotiation guidelines; driving improvements to contract lifecycle management; leading cross-functional legal initiatives; and training internal teams on legal policies and best practices.
You'll manage high-volume, fast-paced deal cycles with strong attention to detail and sound judgment. The ideal candidate has 4+ years of transactional experience at a law firm or in-house at a technology company, with demonstrated expertise in complex commercial and technology agreements. You must hold a J.D. from an ABA-accredited law school and maintain active bar membership.
Strong experience with SaaS and cloud services agreements, partner/reseller/channel arrangements, technology integrations and APIs, and vendor/supplier contracts is essential. Working knowledge of data privacy and security concepts, intellectual property (licensing and ownership), and AI and emerging technology considerations is required. Preferred qualifications include experience supporting partner ecosystem or marketplace programs in B2B SaaS, financial services or regulated industry background, familiarity with GDPR, CCPA, and global data privacy regulations, prior in-house experience at a high-growth SaaS company, and experience with Gen AI/Legal AI tools and contract lifecycle management platforms.
