LangChain is seeking a Commercial Counsel to lead commercial legal work across go-to-market and business operations. You will draft, review, and negotiate a broad range of commercial agreements including customer contracts, partner agreements, vendor agreements, NDAs, MSAs, DPAs, and security addenda. This is a highly cross-functional role working closely with Sales, Partnerships, Finance, Security, Product, Revenue Operations, and Operations teams.
Key responsibilities include: drafting and negotiating commercial agreements while managing legal and operational risk; supporting enterprise sales deals with sophisticated customers; handling partner and alliance-related agreements including technology partnerships, channel relationships, integrations, and strategic go-to-market initiatives; reviewing and developing scalable vendor review processes; advising on contractual issues related to data protection, privacy, security, IP, AI/LLM usage, compliance, and risk management; implementing and operationalizing Ironclad contract management system; developing contract templates, negotiation guidelines, and approval workflows; identifying patterns across negotiations to improve standard positions and processes; and serving as a trusted legal partner to business stakeholders.
You will bring 5–8 years of experience drafting, reviewing, and negotiating commercial technology agreements, ideally with a mix of law firm and in-house experience. In-house experience at a SaaS, infrastructure, AI, cloud, developer tools, enterprise software, or high-growth technology company is strongly preferred. You should have experience with a broad mix of commercial agreements and supporting partnerships, alliances, channel, reseller, marketplace, and ecosystem-driven commercial arrangements. A strong foundation in SaaS, cloud, and technology contracting is essential.
