Brex is seeking a Commercial Counsel to join its Legal team in New York. This role is integral to supporting all aspects of Brex's commercial legal efforts, including customer contract review and negotiation, vendor and partner contracting, and cross-functional legal advisory.
Key responsibilities include drafting, reviewing, and negotiating customer agreements in partnership with sales and deal desk teams; supporting legal review of inbound commercial contracts including AI, SaaS, technology agreements, master services agreements, consulting agreements, and NDAs; driving continuous improvement in commercial contracting processes through playbook development and CLM workflow optimization; identifying and mitigating contractual risks; and providing business-oriented legal advice to cross-functional partners on contract terms, deal structures, and commercial legal risks.
The ideal candidate brings 3–5 years of relevant commercial law experience, either in-house at a technology company or in the corporate/tech transactions department of a reputable law firm. Fast-paced, growing tech company experience is preferred. Required qualifications include a Juris Doctor and active bar membership in good standing in at least one US jurisdiction, demonstrated experience drafting and negotiating complex technology and commercial contracts (both customer-facing and vendor/inbound), exceptional judgment and attention to detail, and the ability to manage multiple priorities in a dynamic environment.
Bonus qualifications include fintech or financial services experience, familiarity with fintech product structures, and working knowledge of privacy issues in a commercial context. The role emphasizes an entrepreneurial mindset, ownership, comfort with fast-paced environments, and a builder mentality focused on continuous process improvement. This is a business-partner role, not purely transactional.
