Brex is seeking a Commercial Counsel to join its Legal team in Salt Lake City. You will be a versatile member of the legal function, supporting all aspects of Brex's commercial legal efforts across the organization. In this role, you will handle legal review and negotiation of customer contracts, working closely with sales and revenue-supporting teams to close deals efficiently while protecting Brex's interests. You'll also support vendor and partner contracting, negotiating agreements across the company including AI, SaaS, technology, master services, consulting, marketing, and media contracts. You will advise on legal issues intersecting with commercial matters and collaborate with cross-functional partners including deal desk, operations, procurement, privacy, security, marketing, and people teams. Key responsibilities include drafting, reviewing, and negotiating customer agreements from initial review through signature; supporting legal review of inbound commercial contracts; driving continuous improvement in contracting processes through playbooks and CLM workflows; identifying and mitigating contractual risks; providing business-oriented legal advice on contract terms and deal structures; and partnering closely with internal stakeholders to translate business requirements into clear legal terms. You will contribute to developing and implementing commercial legal resources and processes, including internal policies and contracting workflows. The role emphasizes a pragmatic, business-oriented approach to problem-solving and positions the legal function as a true business partner. Required qualifications include 3-5 years of commercial law experience, either in-house at a technology company or in the corporate/tech transactions department of a law firm. You must hold a Juris Doctor and maintain active bar membership in good standing in at least one US jurisdiction. Demonstrated experience drafting, reviewing, and negotiating complex technology and commercial contracts is essential, with both customer-facing and vendor contracting experience preferred. You should demonstrate exceptional judgment, attention to detail, integrity, and the ability to manage multiple priorities in a fast-paced environment. Experience at fast-paced growing technology companies is preferred. Bonus qualifications include fintech or financial services experience, working knowledge of privacy issues in commercial contexts, and direct experience with deal desk or sales operations.
