Brex is seeking a Commercial Counsel to join its Legal team in Seattle. This role is integral to supporting all aspects of Brex's commercial legal efforts, working at the intersection of law and business strategy. You will handle legal review and negotiation of Brex customer contracts, working closely with sales and revenue-supporting teams to close deals efficiently while protecting company interests. You'll also support vendor and partner contracting, negotiating a diverse range of agreements serving teams across Brex, including AI, SaaS, technology, master services, consulting, marketing, agency, and media contracts. Key responsibilities include drafting, reviewing, and negotiating customer agreements from initial legal review through signature; supporting legal review of inbound commercial contracts; driving continuous improvement in commercial contracting processes by developing playbooks and optimizing contract lifecycle management workflows; identifying and mitigating contractual risks; and providing sound, business-oriented legal advice to cross-functional partners on contract terms, deal structures, and commercial legal risks. You will be a true business partner, collaborating closely with deal desk, operations, procurement, privacy, security, marketing, and people teams to understand business needs and translate operational and product requirements into clear legal terms. Required qualifications: 3-5 years of relevant commercial law experience, either in-house at a technology company or in the corporate/tech transactions department of a reputable law firm (fast-paced growth-stage tech experience preferred). JD and active bar membership in good standing in at least one US jurisdiction. Demonstrated experience drafting, reviewing, and negotiating complex technology and commercial contracts, ideally with both customer-facing and vendor/inbound contracting experience. Exceptional judgment, attention to detail, integrity, and ability to manage multiple priorities in a fast-paced environment. Bonus qualifications include fintech or financial services experience, familiarity with fintech product structures, and working knowledge of privacy issues in a commercial context.
