AssemblyAI is seeking a Commercial Counsel to join as the second hire on its legal team, reporting directly to the Head of Legal. You will serve as the primary legal partner to the enterprise sales organization and own AssemblyAI's entire commercial contracting lifecycle.
AssemblyAI builds best-in-class Voice AI models powering the next generation of voice applications. The company processes 1M+ hours of audio daily, serves 600M+ monthly inference calls, and powers 2B+ end-user experiences. With customers including Granola, Fireflies, Figure AI, and CallRail, AssemblyAI operates as a capital-efficient, high-growth AI company with under 100 employees generating ~$500K ARR per employee.
In this role, you will draft, review, and negotiate enterprise-grade Master Services Agreements (MSAs), Data Protection Addendums (DPAs), Business Associate Agreements (BAAs), and other commercial arrangements under tight deadlines. You'll negotiate privacy and data protection terms across commercial agreements, addressing issues under GDPR, CCPA/CPRA, HIPAA, and other privacy regulations. You'll advise on AI-specific contract issues including model training, intellectual property ownership, and AI data governance. You'll apply business judgment to determine which risks the company can absorb or push back on, minimizing unnecessary redlines while protecting the business.
You must possess mastery of contract drafting mechanics, sharp risk calibration instincts, and independence to drive agreements from initiation to execution with minimal guidance. You understand how to trade off non-critical redlines, hold the line on true company risk, and maintain deal momentum at startup speed.
Required: J.D. from ABA-accredited law school and active New York bar membership. 3–5 years of hands-on technology commercial contracting experience at a top-tier tech law firm (Gunderson, Fenwick, Cooley, Orrick, Wilson Sonsini, or equivalents) or high-growth AI/SaaS startup. Deep expertise drafting and negotiating MSAs, DPAs, BAAs with sophisticated enterprise counterparties. Strong working knowledge of global data privacy laws (GDPR, CCPA/CPRA, HIPAA) and commercial AI considerations (IP protection, training rights, regulatory trends). Self-sufficient operator comfortable with high deal volume in a fast-moving environment.
The role is hybrid, based in NYC (2 days per week in office).
