Salary: USD 195,000 - 240,000 / annual
Fireblocks is seeking a Senior Commercial Counsel based in New York to support the company's growth across the Americas financial markets. The role focuses on commercial contracting and will be part of the broader legal team supporting the business globally, working closely with the Americas Sales and Customer Success Teams on strategic client matters.
Key responsibilities include drafting and negotiating complex commercial transactions with leading financial institutions worldwide, including Master Service Agreements (MSAs), SaaS agreements, Statements of Work (SOWs), and Non-Disclosure Agreements (NDAs). You will own the complete review cycle from drafting through negotiation to closure, structuring and negotiating risk allocation and regulatory compliance provisions tailored to each transaction. The role involves leveraging AI tools to streamline complex contract reviews, refining legal templates and processes, and creating sales training and enablement materials.
Additional responsibilities include identifying potential risks and recommending mitigants in commercial transactions for escalation to senior leadership, partnering with procurement on high-risk vendor contract reviews, supporting due diligence processes involving material commercial contracts, and advising stakeholders on legal risks, business strategies, and product and regulatory issues related to commercial transactions and general operations.
Required qualifications include 8+ years of experience at a top-tier law firm and/or in-house at a technology company, with demonstrated experience negotiating complex software or SaaS transactions. A J.D. or LL.B. from an accredited law school with active membership in good standing of a U.S. state bar is required; New York admission or eligibility to register as in-house counsel in New York is preferred. Background in financial services, fintech, blockchain, cybersecurity, or crypto industries is preferred.
The ideal candidate is proficient in managing competing priorities in a high-pressure environment, demonstrates ability to use AI tools to create efficiencies within legal workstreams, operates as a team player who enjoys partnering with cross-functional teams, and maintains fastidious attention to detail in both oral and written communications.
Fireblocks operates on a hybrid work model with three days per week in office, enabling teams to benefit from face-to-face collaboration while maintaining flexibility.
