Deepgram is the leading platform for Voice AI, providing real-time APIs for speech-to-text, text-to-speech, and voice agents at scale. Backed by a recent Series C, Deepgram is at an inflection point with a legal team that has a real seat at the table. You will be the lead corporate lawyer reporting directly to the General Counsel, owning the corporate function for a company operating at the frontier of voice AI. This is a high-impact role where your decisions on company structure, financing, and governance will shape the next decade. Key responsibilities include: directing corporate governance and building systems for clarity and confidence; driving the legal roadmap for IPO readiness including compliance frameworks, SEC reporting structures, and internal governance policies; preparing, structuring, and executing financings; leading M&A legal work from conversation through integration; partnering with Finance and People on employee equity, cap table management, and secondaries; designing legal and business processes for global scaling with international subsidiaries; tracking worldwide regulatory developments affecting corporate structure; building AI-native corporate practice workflows and systems; and addressing the full breadth of legal issues facing a fast-growing startup. You should want to take a company through the entire arc—growth rounds, acquisitions, and the road to public—with your fingerprints on how it gets built. You treat the cap table, board, and corporate structure as products with users, not paperwork. You get energized by being first, building systems from scratch and establishing foundational practices. You are practical in addressing legal issues and allergic to unnecessary friction. You have conviction about what good lawyering looks like and a healthy sense of humor. Required: JD from a U.S. accredited law school and 7–15 years of legal practice experience (in-house, at a firm, or both); demonstrated strength working with private, venture-backed companies on high-growth trajectories, including IPO readiness; fluency in IPO readiness, financings, M&A, governance, board matters, employee equity, and international structures; comfort with legal grey areas while giving clear, actionable advice; and exceptional writing skills (precise, plain, compelling). Desirable: experience taking a company public as in-house counsel; hands-on experience with corporate and legal issues in the AI space.
