Turion Space is seeking an experienced Associate General Counsel to join its Legal Department. This is a high-impact, generalist role for a seasoned attorney with 10-12 years of experience who can operate independently across corporate, commercial, finance, and regulatory matters, with particular depth in satellite/space industry practice and U.S. government contracting. The AGC will work directly with the General Counsel, executive team, and Board of Directors on matters spanning corporate governance, corporate finance, commercial and vendor contracting, and compliance with specialized regulatory regimes governing space and defense-related business (ITAR/EAR, FAR/DFARS, and related frameworks). Key responsibilities include: serving as trusted legal advisor on day-to-day matters; drafting, negotiating, and managing commercial agreements (supplier contracts, teaming agreements, NDAs, IP licenses, customer agreements); supporting U.S. government (primarily DOD) contracting including proposal review, OTA and FAR-based contract negotiation, DFARS/FAR compliance, and export control considerations; advising on space industry regulatory and licensing matters (FCC spectrum, NOAA remote sensing, launch/on-orbit authorizations); partnering on corporate governance including board materials, resolutions, entity management, and Series C/IPO readiness; supporting debt and equity financing transactions and M&A activities; supporting compliance programs including CUI handling, CMMC readiness, and records retention; assisting with privacy and data protection matters; managing outside counsel; and building internal legal processes and templates. Required qualifications: J.D. from accredited law school with active California bar membership or ability to obtain California registered in-house counsel status; 10+ years relevant legal experience combining law firm and in-house work (in-house at technology, aerospace, defense, or government contracting company strongly preferred); substantive U.S. government contracting experience including FAR/DFARS compliance and export control familiarity (ITAR/EAR); strong commercial contracting background; working knowledge of Delaware corporate law and venture-backed company governance; excellent judgment and ability to manage competing priorities in lean startup environment; strong communication skills; ability to obtain and maintain U.S. security clearance; and U.S. citizenship or eligible immigration status for export control purposes. Preferred qualifications include direct space industry experience, late-stage financing or IPO preparation experience, CMMC/NIST 800-171/CUI handling familiarity, FCC/NOAA licensing knowledge, and active security clearance. Full-time, exempt, on-site position at Irvine headquarters.
