Ramp is building smart infrastructure for finance teams, automating how over $200B in annualized spend flows through 70,000+ companies. The company handles payment authorization, risk flagging, spend categorization, and financial close processes.
As Associate Counsel, Commercial, you'll join Ramp's Legal team reporting to the Associate General Counsel, Commercial. You'll be a trusted business partner to Sales, Partnerships, Procurement, and cross-functional teams, supporting the company's continued growth through strategic legal work.
Key responsibilities include reviewing, drafting, and negotiating commercial agreements (customer agreements, procurement contracts, partnership deals, vendor agreements). You'll partner closely with business teams to provide practical legal guidance throughout deal processes, identify legal risks, and recommend commercially reasonable solutions that balance legal protection with business objectives.
You'll contribute to scaling the Legal function by improving contract negotiation efficiency through legal playbooks, templates, and standard language. The role includes supporting initiatives to streamline legal workflows using AI tools and automation, training internal stakeholders on contracting best practices, and driving process improvements that help the Legal team scale with the business.
Required qualifications: J.D. from an ABA-accredited law school, active license to practice law in at least one U.S. jurisdiction, and 3–5 years of legal experience including technology, SaaS, data processing, or commercial agreement work. You'll need strong written and verbal communication skills, sound judgment balancing legal risk with business objectives, strong organizational skills for managing multiple priorities, and a collaborative mindset.
Nice-to-haves include in-house experience at a technology or high-growth company, familiarity with contract lifecycle management tools like Ironclad, experience working with cross-functional teams, and demonstrated interest in building scalable legal processes and leveraging technology.
