Sydecar is transforming private markets by making them more accessible, transparent, and liquid through a platform that automates banking, compliance, contracts, taxes, and reporting for investment vehicles and venture capital funds.
As Associate Counsel, you will be a core member of the legal team reporting to the Head of Legal & Compliance. Your mission is to manage legal risk, drive product innovation through legal expertise, and support internal stakeholders on governance and compliance. You'll work closely with the CEO, Head of Product, VP Finance, and other executives to ensure all products and services meet federal, state, and international compliance standards while reducing friction for users.
Key responsibilities include:
- Providing legal counsel to administrative, product, and go-to-market teams on best practices
- Drafting and maintaining high-quality customer agreements, vendor contracts, and fund documentation
- Overseeing contract negotiations with customers, partners, and vendors
- Managing the company's legal agreements, forms, and corporate records
- Advising the executive team on legal and regulatory matters
- Monitoring regulatory changes in fintech and venture investing to update internal policies
- Collaborating with external counsel on complex legal matters
- Identifying and mitigating legal risks across the organization
- Staying current on fintech and securities law trends to provide strategic guidance
You'll need a J.D. and active bar membership, with 4-7 years of practice emphasizing Reg D and private fund securities work. Strong expertise in securities laws, data privacy, contracts, and IP is essential. You should excel at negotiating complex commercial agreements, understand fintech regulatory frameworks, and communicate legal concepts clearly to non-legal stakeholders. Ability to work under pressure in a fast-paced startup environment and quickly master new legal areas is critical.
