Salary: USD 148,000 - 187,000 / annual
Everlaw is seeking an Associate Counsel to support and accelerate its commercial contracting engine. You will work closely with Commercial Counsel to review, redline, and negotiate a wide range of commercial agreements including SaaS subscription agreements, NDAs, statements of work, vendor licenses, and procurement contracts. You'll serve as a responsive legal partner to Sales and Finance teams, offering pragmatic advice on contract terms affecting revenue recognition, billing structures, and deal velocity.
Key responsibilities include: reviewing and negotiating customer-facing and inbound agreements using Everlaw's standard playbooks and fallback positions; maintaining and updating contract templates as the business evolves; integrating AI productivity tools into contract review, issue spotting, and drafting workflows; answering day-to-day contract questions from internal stakeholders; and staying current with legal developments in SaaS, AI, data privacy, and cloud technologies.
You bring 1–3 years of commercial contracting experience in-house at a technology company or at a law firm with SaaS focus, plus a J.D. and active state bar membership. You have hands-on experience negotiating critical terms like Limitations of Liability, Indemnification, IP Rights, and Data Security, and are familiar with NDAs, DPAs, and BAAs. You produce clear, concise redlines, calibrate communication for legal, business, and technical audiences, and thrive managing multiple concurrent deal streams under tight timelines. You are process-oriented, curious about AI legal tools, and authorized to work in the United States (visa sponsorship not available).
Bonus experience includes familiarity with Ironclad or comparable CLM platforms, background at B2B SaaS or legal tech companies, and experience supporting sales teams in high-growth environments.
This is a full-time, exempt position based in Oakland with a hybrid schedule: in-office Monday, Wednesday, Thursday; work-from-home Tuesday and Friday.
