Paraform is seeking an Associate Corporate Counsel to serve as the company's first legal hire. This is a broad, hands-on role that spans multiple legal domains as Paraform scales its AI-powered recruiting marketplace.
Key responsibilities include:
Commercial: Draft, review, and negotiate customer, vendor, partnership, and other commercial agreements. Develop scalable contracting processes and templates to support rapid growth.
Product & Marketplace: Partner with Product and Operations teams on new features, marketplace policies, recruiter and customer relationships, and evolving legal and regulatory questions specific to marketplace operations.
Employment: Support the People team on employment matters including performance management, terminations, compensation, policies, and employee relations.
Corporate: Support financings, equity matters, corporate governance, board matters, and strategic transactions.
Privacy & Compliance: Build practical privacy, data protection, security, and compliance programs as the company scales.
Legal Operations: Help establish repeatable legal processes, templates, playbooks, and systems that enable faster business movement without introducing unnecessary risk.
Business Partnership: Translate complex legal issues into clear, practical guidance for stakeholders across the organization.
Required qualifications include active U.S. bar membership and California eligibility, 4+ years of relevant legal experience advising technology or high-growth companies, and specific experience with marketplace, platform, or recruiting/staffing businesses. Strong commercial drafting and negotiation skills are essential, along with the ability to work across corporate, commercial, employment, product, and privacy matters. Candidates must demonstrate strong business judgment, comfort with ambiguity, and excellent stakeholder management.
Preferred experience includes a combination of law firm and in-house roles at startups or high-growth tech companies, employment law expertise, product counseling on privacy and AI, experience with financings and M&A, and familiarity with AI tools in legal workflows.
