You will direct outside counsel relationships, establish clear expectations for scope, staffing, timelines, and fees, and forecast legal resourcing needs. You'll build repeatable practices for M&A and corporate transactions, including standard LOI positions and transaction playbooks. You'll oversee legal readiness for fundraising and financing, including corporate records and diligence materials. You'll partner with Finance, Accounting, Compliance, People, and other business teams to translate legal considerations into practical recommendations and identify material risks. REQUIREMENTS: - Juris Doctor (JD) from an ABA-accredited law school and active license to practice in at least one U.S. jurisdiction - Significant corporate and M&A experience with demonstrated track record of leading complex transactions from structuring through closing - Strong M&A training from a law firm or comparable experience within a large organization with complex subsidiary and entity structure - Experience leading transactions in the high eight- to nine-figure range, or substantial volume of transactions demonstrating comparable complexity and responsibility - Proven people leader with formal experience managing and developing lawyers or other legal professionals, including setting expectations, evaluating performance, and providing actionable feedback - Demonstrated ability to lead deals with substantial autonomy, direct outside counsel, and coordinate multiple transactions and stakeholders in a fast-moving environment - Strong business judgment and ability to advise senior executives on transaction structure, negotiating positions, and legal risk through clear, well-supported recommendations - Strong foundation in corporate governance, entity management, capitalization matters, and financing diligence, with ability to oversee this work and guide others' execution - Experience developing processes, playbooks, or systems that improve quality, consistency, and efficiency of legal work - Clear, responsive communication and strong follow-through, including ability to anticipate issues, challenge assumptions constructively, and keep stakeholders aligned - Healthcare M&A or experience in another regulated industry is a strong plus, but not required
