We are expanding our legal team and seeking a Senior Corporate Paralegal to serve as a true business partner. This role offers corporate generalist exposure at a high-growth startup, anchored in corporate and commercial work while touching brand, advertising compliance, real estate, landlord-tenant operations, and permitting across multiple jurisdictions.
Key Responsibilities:
- Own the full lifecycle of entity administration: formations and dissolutions, foreign qualifications, annual reports, franchise tax filings, registered agent management, signatories, officer and director lists, and post-integration cleanup.
- Respond to KYC/UBO and diligence requests from partners, auditors, insurers, and counterparties; build reusable packages.
- Provide commercial and cross-functional support including powers of attorney, delegations of authority, and corporate approvals needed by the business.
- Assist with obtaining and maintaining operational permits across U.S. jurisdictions.
Requirements:
- 5+ years of corporate paralegal experience at a major law firm and/or in-house at a high-growth company.
- Deep working knowledge of corporate governance, entity formation and maintenance, and corporate recordkeeping functions.
- Demonstrated ability to independently run multiple time-sensitive workstreams without dropping threads or waiting to be asked.
- Comfort operating in a fast-paced environment where priorities shift and processes are still being built, with a bias toward action.
- Bachelor's degree or equivalent practical experience.
- Notary Public commission (FL or NY), or willingness to obtain one.
