Modal is building a serverless cloud platform for AI, data, and compute-intensive applications—a new infrastructure layer for the AI era. The company recently raised $355M in Series C funding at a $4.65B valuation and has crossed $300M+ ARR, serving customers like Ramp, Cognition, DoorDash, and Suno.
You will be the first commercial lawyer at Modal, reporting to the General Counsel and partnering closely with Sales, BizOps, Finance, and Engineering teams. This is a high-impact role focused on drafting, negotiating, and building the commercial legal foundation for a rapidly scaling company.
Key responsibilities:
- Own the full customer contracting lifecycle: MSAs, service orders, NDAs, DPAs, BAAs, and other commercial agreements. Negotiate directly with customers and partner with Sales throughout deal cycles.
- Lead vendor-side contracting for capex procurement, SaaS tools, consulting arrangements, and similar vendor relationships.
- Build and maintain contract repositories, template libraries, and contract playbooks from scratch.
- Partner with Legal operations on CLM (contract lifecycle management) implementation, including approval workflows and escalation logic.
- Review and revise operational policies (terms of service, privacy policy, acceptable use, website terms) and customer-facing marketing materials.
You'll help establish the playbooks and positions that guide Modal's legal operations as the company scales.
REQUIREMENTS:
- 8+ years of combined law firm and in-house experience negotiating commercial technology agreements, with meaningful time supporting an enterprise sales motion
- JD and active membership in good standing in New York or California
- Deep familiarity with SaaS contracting
- Extensive experience working within Ironclad or a similar CLM platform
- Ability to build templates and playbooks from scratch
- Working knowledge of privacy and regulatory data protection frameworks (GDPR, HIPAA)
- Sound commercial judgment: ability to balance risk with business needs of a high-growth tech company
