Delinea is seeking a Senior Corporate Counsel to join its growing Legal team. The company is a pioneer in identity security, offering an AI-powered, cloud-native platform that governs human and machine identities across modern enterprises. This role reports directly to the Deputy General Counsel and is critical to supporting the company's business objectives across a broad range of legal matters.
The Senior Corporate Counsel will operate as an independent, detail-oriented attorney capable of managing multiple priorities in a fast-paced environment. Key responsibilities include developing and implementing strong corporate governance frameworks for U.S. and global legal entities; supporting corporate compliance initiatives in areas such as ethics, anti-bribery/FCPA, employment law, privacy, and data management; and helping scale the company's ESG efforts through training and awareness programs.
Additional duties include advising on corporate development and M&A due diligence, reviewing and negotiating commercial agreements (vendor contracts, NDAs), managing dispute resolution and litigation matters, and collaborating cross-functionally to deliver sound legal advice that balances business objectives with regulatory compliance and risk management.
The ideal candidate brings direct experience in corporate governance, compliance, and commercial transactions; excellent judgment and organizational skills; the ability to prioritize rapidly changing workloads; and strong interpersonal skills to collaborate effectively across all organizational levels. The role can be hybrid based in San Francisco or remote within the Bay Area for the right candidate.
