General Legal is an AI-native law firm delivering high-quality corporate legal work faster than traditional firms by combining U.S.-barred attorneys with AI-native workflows. The firm operates like a startup with modern tooling, outcome-based pricing, and remote-friendly work, focusing on repeatable processes that scale.
You will support the Emerging Companies & Venture Capital (ECVC) practice, working directly with attorneys on venture financings, entity formations, equity administration, and startup-side M&A for a growing roster of startup and investor clients. This is a hands-on execution role where you'll own corporate housekeeping and deal-support work that keeps clients' cap tables clean and transactions moving, using AI-native workflows to work faster and more accurately than at traditional firms.
Key responsibilities include:
**Startup & Venture Financings:** Support venture financings (priced rounds, SAFEs, convertible notes) from term sheet through closing, including drafting ancillary documents and managing signature/closing logistics. Incorporate and organize new entities with formation documents, bylaws/operating agreements, and initial resolutions. Implement and administer equity incentive plans and stock option grants. Maintain and update capitalization tables using platforms like Carta or Shareworks. Handle corporate records management and general housekeeping (annual filings, franchise tax, registered agent matters, minute books).
**Startup-Side M&A Support:** Assist with diligence for acquisitions of early- and growth-stage companies, acqui-hires, and asset deals by organizing data rooms and tracking diligence requests. Draft and manage signing and closing checklists, closing documents, and closing volumes. Prepare board and stockholder resolutions and minutes.
**Client & Attorney Support:** Serve as a direct point of contact for founders on routine document requests, closing logistics, and status updates. Draft and revise standard agreements and templates under attorney direction. Work directly with attorneys to scope and prioritize matters.
**Process & Tooling:** Use and help refine AI-native workflows and playbooks to handle routine drafting, document assembly, and diligence work faster. Identify recurring bottlenecks and help build better processes as the firm scales.
The ideal candidate has real ECVC paralegal experience and is comfortable working independently in a lean, fast-moving team with direct attorney and client contact.
**Requirements:**
- 3+ years of corporate/transactional paralegal experience with substantive ECVC experience (incorporations, venture financings, cap table/equity plan administration)
- Experience with capitalization management platforms such as Carta or Shareworks
- Four-year degree and/or paralegal certificate from an ABA-approved program
- Experience in a law firm, legal tech, or in-house legal environment; startup or high-growth company exposure strongly preferred
- Solid working knowledge of NVCA-style financing documents, SAFEs, and convertible notes; exposure to startup-side M&A (asset deals, acqui-hires, company sales) is a plus
- Substantial experience with Excel spreadsheets and exemplary written communication and organizational skills
- Ability to run the mechanics of a financing or closing without hand-holding and know when something needs attorney judgment
- Comfortable multi-tasking across several active matters in a deadline-driven environment
- Genuinely curious about AI tools and excited to work somewhere that uses them to change how legal services get delivered
- Default to fixing problems rather than just flagging them
