Salary: USD 220,000 - 270,000 / annual

As M&A Counsel, you will execute complex, high-impact M&A transactions while supporting adjacent corporate and partnership legal needs. You will own M&A work streams end-to-end with minimal oversight, build Harvey's M&A playbook, and design scalable, AI-forward legal processes.
Key responsibilities include:
- Execute M&A and strategic transactions: manage due diligence, structure deal terms, draft and review definitive agreements, negotiate key legal and business terms, oversee signing, closing, post-closing integration, and manage outside counsel relationships
- Design, implement, and continuously improve scalable legal processes, templates, and playbooks to drive efficiency and consistency across M&A and strategic transactions
- Act as trusted business partner to stakeholders across Corp Dev, Finance, People, Product, and Operations
- Support adjacent corporate matters including entity management, employment and compensation, real estate, and insurance

REQUIREMENTS:
- JD degree and licensed to practice in California or New York in good standing
- 4-6+ years of relevant legal experience in M&A transactions with ability to flex across adjacent corporate matters
- At least 4 years in the M&A group of a top-tier law firm, preferably as a 5th year+ associate, with buy-side experience representing fast-growing technology companies
- Ability to thrive in fast-paced environment, manage competing priorities, and think creatively and strategically under tight timelines
- Team-focused and collaborative working style with strong sense of ownership and comfort operating independently in rapidly evolving practice
- Exceptional communication skills and intellectual curiosity with ability to drive stakeholder alignment, exercise sound judgment, and provide solutions-oriented legal advice
