Mercor is a Series C AI data company (valued at $10B) that organizes human intelligence to power the AI economy. The company operates a platform where millions of domain experts train frontier AI models, and is expanding into enterprise solutions for Fortune 500 companies. As M&A Accounting and Integration Lead, you will spearhead the accounting workstream across Mercor's strategic acquisition program. This is a foundational operational role reporting to the Controller, where you'll build and scale M&A accounting infrastructure to support rapid acquisition velocity. Key responsibilities span three core areas: **Confirmatory Diligence:** Direct post-LOI accounting due diligence evaluating quality of earnings, revenue recognition policies, cap table structures, tax liabilities, and vendor obligations. You'll construct scalable diligence playbooks tailored to diverse transaction types (acquihires, IP assets, complex combinations), deliver comprehensive accounting readiness evaluations highlighting material risks, and analyze definitive transaction documentation to advise on earnouts, working capital adjustments, escrow holdbacks, and equity rollovers. **Deal Accounting:** Oversee third-party valuation specialists on purchase price allocations, intangible asset valuations, and contingent consideration models. Evaluate financial statement impacts for proposed deal mechanics and talent retention structures. Coordinate Day 1 close readiness across financial systems, payroll platforms, banking structures, and internal governance controls. **Post-Merger Integration:** Lead end-to-end accounting integration roadmaps including opening balance sheets, general ledger mappings, ERP migrations, policy alignment, and intercompany settlements. Translate purchase terms into actionable operational milestones aligned with Corporate Development. Manage concurrent integration tracks across multiple acquired entities. Transition acquired units into Mercor's internal control environment and SOX-compliant reporting frameworks. Serve as primary financial liaison for target leadership teams. **Program Governance:** Manage measurement-period adjustments, earnout tracking, intangible asset amortization, and annual goodwill impairment testing. Represent Mercor with external audit partners on complex M&A transactions. Develop standardized M&A accounting toolkits, templates, and decision trees. Conduct deal retrospectives and track performance metrics. Mentor junior team members. You'll work in-person five days per week in San Francisco (with NYC and London offices also available). This role requires partnering closely with Corporate Finance, Legal, Business Operations, and Integration leads across deal execution pods. **Requirements:** - 6+ years combined experience in technical accounting, Big 4 audit, or transaction advisory services - 2+ years in-house finance/ops experience within high-growth, venture-backed technology environments - Proven track record leading M&A accounting end-to-end across multiple closed acquisitions - Deep expertise in US GAAP technical frameworks: ASC 805 (business combinations), ASC 606 (revenue recognition), ASC 718 (stock compensation), ASC 820 (fair value measurement) - Strong operational execution skills converting transaction terms into clear, actionable integration workstreams - Exceptional communication skills translating technical accounting positions to cross-functional executives, legal counsel, and auditors - Active Certified Public Accountant (CPA) license **Nice to Have:** - Direct experience accounting for acquihires, including retention vs. consideration evaluation - Big 4 financial due diligence (FDD) or deal advisory background - Experience establishing M&A accounting practices, playbooks, and governance frameworks from scratch - Demonstrated capability managing multiple concurrent transaction integrations under tight timelines - Familiarity with cross-border acquisition structures and foreign subsidiary integration - Experience in fast-paced AI or hyper-growth technology environments
