Rippling is seeking a Legal and Compliance Operations Associate to join its Legal and Compliance team. Rippling provides an integrated platform for HR, IT, and Finance, enabling businesses to manage the entire employee lifecycle—from payroll and benefits to computer provisioning—in a single system. The company has raised $1.4B+ from top-tier investors including Kleiner Perkins, Founders Fund, and Sequoia.
In this generalist role, you will take ownership of building and maintaining Rippling's legal infrastructure across its global portfolio of legal entities. You will manage the full lifecycle of corporate entities worldwide, including formations, dissolutions, inter-company funding, and changes to directors and officers. You will support corporate governance by coordinating subsidiary board meetings, preparing board materials, resolutions, and minutes. You will oversee annual statutory filings, ensuring compliance with applicable requirements and managing the preparation and filing of annual reports and financial statements.
You will collaborate with outside counsel on subsidiary governance matters, drafting corporate documents such as formation documents, board and shareholder resolutions, and powers of attorney. You will coordinate notarizations and legalizations as needed. You will assist with Ultimate Beneficial Ownership disclosures, KYC/AML requests, and maintain accurate corporate records in internal entity management systems. You will liaise with internal stakeholders, outside counsel, and international government authorities on compliance matters, and support other legal and compliance projects as they arise.
This role emphasizes developing processes from the ground up to create standardized procedures that help the Legal and Compliance team and Rippling operate more efficiently and effectively. Rippling values in-office collaboration and requires employees to work in the office at least three days per week under current policy.
REQUIREMENTS:
- 3+ years of paralegal experience or experience in a legal and/or compliance function (prior experience with corporate or subsidiary management matters is a plus)
