BVNK, now part of Mastercard, is a stablecoin-powered financial stack enabling enterprises to build financial products and move money across 130+ countries. The company holds 40+ licenses for fiat and digital assets globally and processes billions annually. You will serve as General Counsel and the company's US legal advisor, overseeing all legal and regulatory matters as a key member of the US executive leadership team.
You will guide the company through a complex and dynamic regulatory landscape in payments and fintech, support growth strategy, and mitigate legal risks. Your responsibilities span multiple areas:
**Commercial, Product & Contractual Matters:** Act as lead legal partner on commercial and product matters, providing pragmatic advice that enables growth while managing risk. Provide product counsel across development and launch of new and existing products. Draft, negotiate, and review key commercial contracts including customer agreements, partnerships, and vendor agreements. Work with Product, Commercial, Compliance, and cross-functional teams to ensure products and go-to-market strategies meet legal and regulatory requirements.
**Legal Strategy & Leadership:** Develop and implement the company's US legal strategy. Advise executive leadership and the board on all legal and regulatory matters. Build and lead the internal US legal team and manage external counsel relationships. Work with Mastercard's legal team to support successful integration, ensuring alignment across legal, regulatory, governance, and commercial matters.
**Regulatory Compliance:** Ensure full compliance with federal, state, and international laws governing payments and fintech. Monitor regulatory developments and provide proactive guidance. Liaise with regulatory agencies, financial institutions, and key stakeholders.
**Corporate Governance & Risk Management:** Oversee US corporate governance matters and best practices. Develop and maintain risk mitigation policies and procedures. Support the US board of directors with materials and participation.
**Dispute Resolution & Litigation:** Manage legal disputes, litigation, and arbitration proceedings with external counsel. Develop strategies to resolve conflicts efficiently.
**Team Leadership & Collaboration:** Build strong relationships across the business. Lead and mentor a high-performing legal team. Collaborate with the group legal team on cross-functional matters. Act as primary liaison between US legal function and group legal team.
**Requirements:**
- Extensive experience in legal leadership within fintech, payments, or technology sectors
- Strong expertise in commercial law with experience negotiating and structuring strategic agreements
- Proven track record providing legal guidance for product and business development teams in highly regulated sectors
- Regulatory acumen and in-depth knowledge of US regulatory frameworks, especially financial services, payments, and fintech trends; working knowledge of global regulatory frameworks
- Ability to interpret, anticipate, and adapt to evolving regulations across multiple jurisdictions at federal, state, and local levels
- Ability to excel in fast-paced environments with excellent judgment and adaptability
- Exceptional project management skills with capacity to handle competing priorities under tight deadlines
- Genuine passion for technology and strong business acumen with ability to grasp complex product use cases
- Expertise in translating legal concepts into practical, actionable guidance for product and business teams
