Salary: USD 125,000 - 175,000 / annual
Prizeout is seeking an experienced in-house corporate counsel to lead all legal matters across corporate governance, commercial transactions, risk management, and regulatory compliance. You will report to the VP of Strategic Finance and Revenue Operations and serve as a key member of the operations team, working cross-functionally with finance, sales, technology, and product teams.
Key Responsibilities:
- Provide legal advice and guidance on corporate governance, contractual matters, and regulatory compliance
- Review, draft, and negotiate contracts and agreements with clients, employees, vendors, and external parties
- Assist with corporate transactions including fundraising, mergers and acquisitions, and strategic partnerships
- Counsel the product team on data privacy compliance, commercial contracts, terms and conditions, privacy policies, consumer and financial regulatory compliance, and go-to-market strategy
- Oversee corporate governance matters including board and shareholder matters, equity compensation, intellectual property protection, and data privacy law compliance
- Collaborate with and manage outside counsel on specialized legal matters such as IP, HR, and employment
- Draft and update template agreements, corporate documents, and information security policies
- Represent the company in legal proceedings, negotiations, and meetings with external parties
- Advise on employment matters and maintain organized legal records and documentation
The role is fully remote with CST/EST hours, though travel to the NYC office is required for training and periodic meetings.
Requirements:
- JD from a top law school and active member of the NY State Bar in good standing
- 5+ years of experience with strong primary background in commercial/technology transactions and secondary experience in privacy law
- Fintech experience is a plus
- Corporate law, contract negotiation, and regulatory compliance experience preferred
- Proven ability to build and maintain positive relationships with internal teams, external clients, and outside counsel
- Expertise in negotiating, drafting, and modifying key terms of strategic commercial agreements
- Practical, solution-oriented legal approach with ability to identify creative solutions to business challenges
- Ability to communicate complex legal concepts effectively to non-legal stakeholders
- Exceptional judgment, responsiveness, and ability to work independently with minimal supervision
- Ability to thrive in a dynamic, fast-paced, collaborative, high-growth environment
- Must be authorized to work for any employer in the U.S. indefinitely; visa sponsorship not available
