Andercore is an AI-native supplier of industrial materials for energy, infrastructure, and construction, operating across seven European markets with €100M+ annual turnover. The company uses AI and software to automate the full trade and distribution cycle—sourcing, quality, pricing, sales, logistics, and financing—replacing traditional multi-intermediary supply chains. As Director of Corporate Development, you will report directly to the CEO and build Andercore's M&A engine from the ground up. This is a strategic and operational role focused on transforming fragmented industrial businesses through technology and AI, not traditional financial engineering. Your core responsibilities: **M&A & Roll-Up Strategy**: Define Andercore's acquisition thesis across Europe. Identify attractive verticals, geographies, and fragmented markets suitable for consolidation. Build market maps and develop the financial and strategic logic for how Andercore's AI and automation capabilities create disproportionate value post-acquisition. Create a multi-year acquisition roadmap with the CEO and Board. **Proprietary Deal Origination**: Build a systematic pipeline of acquisition targets. Identify and directly approach founders and business owners. Develop data-driven sourcing approaches and relationships with investment banks, M&A advisers, and intermediaries. Proprietary sourcing is intended to become a core competitive advantage. **Deal Execution**: Own transactions end-to-end from initial conversation through closing. Conduct financial analysis, valuation, due diligence, deal structuring, negotiation, and coordinate internal and external stakeholders. Prepare investment cases, LOIs, board materials, and manage financing. **AI-Driven Value Creation**: Work with technology and operating teams to identify where AI, automation, centralized procurement, pricing optimization, sales productivity, working capital management, and shared infrastructure can fundamentally improve acquired businesses. Quantify impact before investment. **Integration & Portfolio Management**: Develop Day-1 and 100-day plans. Translate investment theses into measurable operational initiatives. Track acquisition performance against original cases. Determine what should be centralized versus remain entrepreneurial. **Build the M&A Machine**: Create M&A playbooks, target databases, valuation frameworks, investment committee processes, due diligence standards, and integration playbooks. As acquisition pace increases, build and lead a dedicated Corporate Development team. Ideal candidates come from leading private equity (buy-and-build or mid-market), top-tier investment banking/M&A, or corporate development at highly acquisitive companies. You should be an exceptional investor and operator comfortable with ambiguity, capable of building repeatable processes, and excited about applying technology to transform traditional industries.
