Conduct is an AI operating system designed to help enterprises absorb legacy system complexity and regain operational speed. The company has recently closed a $60M Series A and is expanding its commercial team. You will own Conduct's largest enterprise deals end-to-end, from initial commercial structuring through final signature. Unlike traditional setups where commercial negotiation and legal documentation are split across two roles, you will consolidate both functions. Once Account Executives bring a deal to the negotiation stage, you take ownership: designing the commercial offer, sitting across the table from customer procurement and legal teams, negotiating both commercial and legal terms simultaneously, and drafting all documentation yourself. Key responsibilities: - Lead enterprise procurement negotiations end-to-end as both commercial and legal counterpart in the same conversation - Own all deal documentation: NDAs, General Terms, AI Annex, Data Processing Agreements, Order Forms, framework agreements, change agreements, and renewals - Draft and negotiate redlines directly without routing through others - Develop and own pricing models, including ramps and multi-year structures - Work with Account Executives to scope deals, understanding customer system landscapes and structuring deals around tier sizes, volumes, and ramp structures - Serve as a credible counterpart to customer counsel, knowing when to escalate to the General Counsel and when to resolve independently - Monitor expansions and renewals to stay ahead of future conversations - Create templates and playbooks that accelerate subsequent deals The role is hands-on and individual-contributor focused. You will be expected to run negotiations yourself, not advise from the sidelines. You'll own both the commercial outcome (price, term, volume) and the legal terms (liability, indemnities, data protection). Conduct operates from London and New York with a small, talent-dense team emphasizing extreme ownership, high velocity, and low-ego collaboration. The company sponsors visas and actively encourages applications from underrepresented groups in tech. REQUIREMENTS: - Commercial counsel experience at an enterprise software or technology vendor, on the sell side, negotiating with large enterprise procurement and legal teams - Demonstrated ownership of commercial outcomes, not just legal terms; ability to articulate trade-offs made on price, term, and volume - Track record of running negotiations directly (you are the speaker, not the consultant) - Confidence with SaaS pricing models: tiers, volume discounts, overage, ramps, and multi-year deals - Fast drafting and surgical redlining skills; ability to make minimum changes for maximum effect - Deal-enabler mindset: finding paths to yes while protecting what matters, and explaining the difference between concessions that matter and those that don't - Ability to remain calm under pressure and structure deals that work for all parties - Hands-on, resourceful approach; comfortable working without extensive support infrastructure - Note: This is not a pure legal advisory role. You must be comfortable owning commercial numbers as well as paper. If you prefer advising on deals rather than carrying them, this role is not the right fit.
