Salary: USD 200,000 - 225,000 / annual
Voyager Technologies is an innovative space, defense, and national security technology company developing mission-critical solutions for government and commercial customers. The Corporate Counsel role reports to the General Counsel and is part of the Legal department, supporting Voyager's corporate operations and strategic initiatives.
In this role, you will provide legal counsel on a broad range of corporate matters with a focus on commercial contracts and corporate governance. You will work closely with finance, business operations, compliance, and export control teams to support the company's growth and mission.
Key responsibilities include:
- Draft, review, and negotiate a wide range of commercial agreements, including customer and supplier contracts, teaming agreements, NDAs, licensing agreements, and services agreements
- Advise on corporate governance matters, entity formation, capitalization, and internal reorganizations
- Assist with corporate transactions, financings, and other strategic initiatives as needed
- Partner with compliance and export control teams to ensure contracts align with regulatory requirements, including government contracting and international trade considerations (ITAR/EAR)
- Develop and maintain contract templates, playbooks, and internal guidance to streamline the contracting process
- Support post-acquisition integration activities, including aligning legal entities, contracts, and compliance obligations across combined businesses
The ideal candidate will have a strong background in corporate law, preferably gained in-house or through a combination of law firm and corporate experience. You will manage a high volume of agreements independently while communicating complex legal concepts clearly to non-legal stakeholders.
REQUIREMENTS:
- J.D. from an accredited law school; licensed to practice law in the jurisdiction of residence/practice
- 4+ years of experience practicing corporate, contracts, or transactional law in an in-house legal department (strongly preferred) or at a law firm
- Excellent contract drafting and negotiation skills, with the ability to independently manage a high volume of agreements
- Excellent judgment, business acumen, and ability to communicate complex legal concepts clearly to non-legal stakeholders
- Familiarity with government contracting, export controls (ITAR/EAR), or the aerospace/defense industry is a plus, but not required
- Must be a U.S. Person (US Citizen, lawful permanent resident, or protected individual as defined by 8 U.S.C. § 1324b(a)(3)) and eligible to obtain export authorizations from the U.S. Department of State or Commerce
