Replit is seeking an experienced Commercial Counsel to join its legal team and serve as a strategic partner to the enterprise sales organization. The role focuses on driving complex commercial negotiations with enterprise customers, helping them navigate the legal and regulatory implications of adopting AI-powered development tools, and building scalable legal frameworks as the company scales. Key Responsibilities: - Serve as lead legal advisor for high-value enterprise software transactions, negotiating directly with Account Executives and customer legal teams - Help enterprise customers understand data privacy, security, and compliance requirements related to AI-powered development tools across various industries - Design and implement contract playbooks, template agreements, and streamlined processes to enable rapid sales velocity while maintaining legal rigor - Identify and manage complex commercial and legal risks while maintaining deal momentum in a fast-paced environment - Collaborate with Product, Engineering, Security, and Privacy teams to ensure commercial offerings align with product capabilities and regulatory requirements - Provide strategic guidance to leadership on commercial legal matters, emerging AI regulations, and market trends in developer tools and enterprise software - Build strong relationships with enterprise customer legal teams, serving as a trusted advisor for platform adoption The role is hybrid, requiring in-office presence on Monday, Wednesday, and Friday at the Foster City headquarters. Requirements: - JD from an accredited law school with active membership in at least one U.S. state bar - 5-7 years of relevant legal experience supporting enterprise software sales and complex commercial transactions, preferably at high-growth technology companies - Strong background in SaaS agreements, software licensing, and technology transactions - Proven track record of successfully closing complex, multi-stakeholder deals in fast-paced environments while balancing legal risk with business objectives - Exceptional business judgment and ability to provide practical, solutions-oriented legal advice - Outstanding written and verbal communication abilities, with experience presenting to C-level executives and enterprise stakeholders - Ability to thrive in ambiguous, rapidly evolving environments and build processes from the ground up - Collaborative mindset with track record of building cross-functional relationships Bonus qualifications: - Previous in-house counsel experience at technology companies serving enterprise customers or developer audiences - Experience with AI, machine learning, or developer platform companies - Experience working with enterprise customers in regulated industries - Experience supporting sales teams through hypergrowth phases
