Morpho is a leading decentralized finance (DeFi) lending protocol backed by a16z crypto, Paradigm, Ribbit Capital, and others, with over $1 billion in deposits and institutional clients including Bitwise, Galaxy, Anchorage Digital, Coinbase, Binance, and Kraken. The company is scaling to establish itself as the open credit network globally.
Reporting to the General Counsel, you will own the complete contract lifecycle for Morpho's partnerships, integrations, and vendor relationships. This role bridges the gap between rapid commercial growth and legal capacity, enabling standard deals to close efficiently without requiring senior lawyer involvement.
Key responsibilities include:
- Deal desk operations: intake and triage of partnership requests, NDA management on both Morpho's and counterparty paper, drafting and negotiating standard partnership and incentive agreements through signature.
- Post-signature tracking: maintain a centralized contract repository linked to the CRM, build and manage an obligations register tracking milestones, grant tranches, exclusivity periods, notice windows, and renewals with automated alerts to deal owners and Finance.
- Legal operations infrastructure: develop negotiation playbooks, build a clause library, consolidate templates, create a Legal FAQ, implement AI workflows for intake and drafting, track outside counsel budgets, and deliver monthly throughput reports.
- Vendor and compliance operations: standardize vendor and SaaS terms, manage renewals and insurance calendars, handle due diligence and security questionnaires, maintain internal policies and data room hygiene.
- Corporate support: as capacity allows, assist with legal entity housekeeping, employment, IP, and privacy matters in coordination with outside counsel.
- Cross-functional collaboration: work daily with partnership, Finance, RevOps, BizOps teams, and outside counsel.
Success milestones: by 30 days, you understand Morpho's products and relationships, own the partnership legal queue, and have reviewed all live agreements and templates. By 3 months, counterparty NDAs turn around in 2 business days, all agreements are in a centralized repository with live obligations tracking and alerts. By 6 months, standard template deals close without senior lawyer involvement except for listed deviations, partner categories are consolidated into agreed templates with playbooks, and you've delivered a monthly throughput report and proposed the 2027 legal operations roadmap.
REQUIREMENTS:
- Legally trained (qualified lawyer or equivalent law degree) with 5–8 years in commercial contracting, including in-house experience at a fast-growing technology company.
- Demonstrated experience negotiating partnership, integration, or licensing agreements independently on both own and counterparty paper; US-style commercial drafting is essential.
- Proven track record building legal operations in practice (contract lifecycle tooling, playbooks, intake, reporting), not just using existing systems.
- Proficiency with AI tools: writing prompts and skills, automating document workflows, and knowing when lawyer review is still required.
- Comfort working with Finance on payment mechanics, milestones, and budgets; familiarity with CRM as source of truth.
- Ability to hold position with deal team under time pressure.
- Clear, concise communication with non-lawyers.
- Strong ownership and autonomy at startup pace with limited support; self-directed and proactive.
- Comfort operating in fast-changing, ambiguous contexts.
- Ability to work across European and US Eastern time zones with shifting priorities.
- Team-first mindset with low ego.
