TRM Labs is seeking an Assistant General Counsel, Commercial to lead the commercial legal function at a Series C fintech/compliance-tech company backed by Goldman Sachs, Bessemer, Y Combinator, and Thoma Bravo. The company provides AI-powered intelligence solutions for investigating and disrupting financial crime, serving public and private sector agencies globally.
In this role, you will manage and develop a team of commercial attorneys and legal professionals, including hiring, mentoring, and building scalable coverage as the company grows. You will own complex commercial negotiations across enterprise and government customers—including master subscription agreements, data and content licenses, strategic partnerships, and public sector contracts. You'll navigate cross-border complexity (GDPR, UK data protection, EU frameworks, APAC requirements) to support a globally distributed deal pipeline across the Americas, EMEA, and Asia.
Key responsibilities include:
- Managing and developing the commercial legal team; hiring and structuring coverage
- Drafting, reviewing, and negotiating complex B2B technology agreements with a focus on GTM and partnership deals
- Overseeing counterparty and vendor due diligence
- Partnering with Sales, Partnerships, Product, and Engineering to support deal velocity and provide business-oriented legal guidance
- Supporting team professional growth through feedback and stretch assignments
- Navigating global regulatory complexity across privacy, AI regulation, law enforcement data access, sanctions/AML, and public procurement
- Building and maintaining commercial legal infrastructure (contract templates, playbooks, CLM workflows)
- Leading AI-enabled legal operations—designing AI-assisted workflows that improve efficiency
- Identifying, framing, and escalating legal and business risks
- Staying current on legal developments affecting AI technologies, data products, and financial crime compliance
AI fluency is a core requirement. You are expected to actively use generative AI tools (Claude, ChatGPT, contract CLM/AI platforms) in daily workflows for drafting, contract analysis, legal research, and process design. Demonstrated fluency, sound judgment about AI deployment, and a track record of building AI-assisted workflows are essential.
The role operates in a high-velocity, high-ownership environment. TRM moves quickly with frequent priority changes, ambiguity, and intense collaboration across functions. Success requires adaptability, creative problem-solving, and comfort with rapid iteration.
REQUIREMENTS:
- 10+ years of legal experience with a strong mix of top-tier law firm and in-house work, ideally in SaaS, fintech, cybersecurity, or crypto/Web3
- Significant experience negotiating complex B2B technology agreements and providing hands-on product counseling (ideally in data- and analytics-heavy products)
- Comfort advising on AI and data issues (data sources and permissions, privacy and security obligations, AI regulatory frameworks, content and IP questions), with ability to quickly learn new regimes
- Government and institutional customer experience (strong plus): familiarity with public sector procurement, bank/vendor risk processes, or law enforcement/financial institution work
- Builder mindset: think in systems, workflows, and SLAs; enjoy turning ad hoc processes into scalable, documented ones using CLM, Salesforce, and generative AI
- Demonstrated comfort using AI tools for drafting, summarization, research, and workflow design, with good judgment about when matters should bypass AI
- Excellent drafting and negotiation skills; ability to explain complex issues clearly to non-lawyers and calibrate advice for executives, GTM leaders, and technical teams
- High ownership, low ego: manage high volume of matters, balance competing priorities, move quickly while maintaining high standards, and be a collaborative, humble teammate
- J.D. (or international equivalent) and active bar membership in good standing in at least one U.S. jurisdiction (or ability to register in-house where required)
