Salary: USD 229,000 - 269,000 / annual

As Senior Corporate Counsel, you will report to the Vice President of Corporate & Commercial and serve as a key member of a lean legal team supporting Checkr's next growth phase, including IPO readiness, M&A, securities, and corporate governance. You will own defined corporate and transactional workstreams with direct guidance from the VP, providing risk-based advice and knowing when to escalate or engage outside counsel.
Key responsibilities include:
- Hands-on support for corporate transactional work including M&A and strategic transactions (deal structure, LOI input, due diligence, drafting and negotiating agreements, post-closing integration)
- IPO readiness support, including cross-functional planning and S-1 drafting assistance
- Execution of equity and debt financing transactions and ongoing compliance
- Coordination with legal, finance, and corporate strategy teams and external counsel
- Corporate governance matters including board and shareholder logistics and governance policies
- General corporate work (registrations, filings, entity administration, leases, intercompany agreements)
- Stock administration, equity matters, securities filings, and employee equity education
- Insurance and enterprise risk program management
- Support for sales leadership on variable compensation plans
- Process improvement and workflow optimization to scale with company growth
The role is based in the San Francisco office with an expectation to work in-office 3+ days per week. Checkr provides in-office perks including lunch five times weekly, commuter stipend, and snacks/beverages.
Requirements:
- JD degree and active membership in good standing of a state Bar
- 5–8 years of corporate and securities law experience; mix of top law firm and in-house experience preferred
- Hands-on M&A transactional experience, with exposure to IPO readiness or public-company matters a strong plus
- Solid working knowledge of corporate, securities, and transactional matters with judgment to spot and triage key issues
- Pragmatic problem-solver who provides crisp, timely, risk-based advice and communicates clearly to non-lawyers
- Strong collaborator with excellent written and verbal communication skills
- Highly organized, able to prioritize and manage multiple projects in fast-paced environment with strong attention to detail and discretion
- A-player mindset with strong bias for action, raises the bar, moves with urgency, stays resilient through ambiguity, takes ownership
